Harrold Jones Services (HJS), a leading Midlands based provider of electrical, security, fire compliance, and building refurbishment services, partnered with Ballards for expert vendor assistance. Our role was to streamline the sale process, minimise risk, and maximise shareholder value while ensuring seamless business continuity.

Our approach

Ballards’ Corporate Finance and Tax teams worked in close collaboration to support the client throughout the entire transaction lifecycle. Our integrated approach ensured seamless coordination across all work streams:

• Financial and tax due diligence support: We assisted with all due diligence queries, clarifying financial data and ensuring accurate and timely

information was provided to the acquirer and their advisors.

• Tax advisory: Our tax specialists identified potential tax exposures and implemented strategic solutions to optimise the transaction outcome for

shareholders.

• Legal coordination: We worked closely with the client’s legal advisers to address contractual matters and ensure full compliance throughout

the process.

• SPA support: Our team assisted in finalising the Sale and Purchase Agreement, ensuring the terms aligned with the client’s objectives and

protected their interests.

• Project management: Acting as the central point of contact for all buyer queries, we provided timely and accurate responses to maintain transaction momentum and confidence.

The outcome

The transaction was successfully completed in November 2025, with HJS joining Ventro Group as part of its strategic expansion in electrical and

security services. The deal was completed with minimal disruption to HJS’s operations, allowing the business to continue serving its clients seamlessly.

The acquisition strengthens Ventro’s position as a comprehensive building compliance partner whilst providing HJS’s team with new opportunities for growth and development within a rapidly expanding group.
